1. Who sells Repwise
Repwise (the "Product") is sold by [Seller legal name], tax ID [NIF / tax ID], with address at [Postal address] ("we", "us"). You can contact us at hello@repwise.dev.
These terms apply to every purchase of a Repwise license made through repwise.dev. The checkout and payment are handled by [Payment provider], which may act as merchant of record for the sale. By buying, you confirm that you have read and accept these terms.
2. What you get
Repwise is a self-hosted web application written in PHP with the Laravel framework. After payment you can download:
- the full source code of the current 1.x version;
- the documentation and the changelog;
- updates and support for 12 months from the purchase date.
The Product runs on your own hosting. We do not host your installation and we have no access to its data.
3. License
When your payment is confirmed we grant you a personal, non-exclusive, non-transferable, worldwide license to use the Product under these conditions:
- One license, one production site. You may install the Product on one production domain, plus any number of local, staging or development copies used only for testing that site. Each additional production site needs its own license.
- Your own business or your client's. You may use the Product for your own business or install it for one client's site. In that case the license covers that client's site and you may not keep using it for a different site.
- You may modify the code for your own installation.
You may not:
- resell, sublicense, share, publish or otherwise distribute the Product or its source code, modified or not, including through marketplaces, file-sharing sites or public repositories;
- offer the Product, or a derivative of it, as a hosted service (SaaS) to several customers from one installation;
- remove copyright notices or license files;
- use the Product for unlawful purposes.
Open-source components included in the Product (for example Laravel and other Composer packages) remain under their own licenses, which are listed in the documentation. Nothing in these terms limits your rights under those licenses.
All intellectual property rights in the Product other than the rights granted here stay with us.
4. Price, payment and taxes
The price is shown on the product page and again at checkout, in EUR (€). The license is a single payment and the code is yours to keep and run forever. Updates and support are included for 12 months; after that you can optionally renew them for 19 € per year. There is no subscription and nothing renews automatically. Applicable VAT or sales tax is calculated at checkout based on your location and is shown before you pay. If you buy as a business, you can enter your VAT number at checkout where the payment provider supports it.
Payments are processed by [Payment provider]. We never see or store your card or bank details.
5. Delivery
The Product is digital. The download link is available immediately after the payment is confirmed and is also sent to the e-mail address you used at checkout. Please keep a copy of the files: we may limit how long the link stays active, but you can request a new link for the same order at any time.
6. Right of withdrawal (consumers in the EU and UK)
If you are a consumer, you normally have 14 days to withdraw from a distance purchase. For digital content that is not delivered on a physical medium, this right ends once the download has started if you have given your express consent to start it and acknowledged that you lose the right of withdrawal. We ask for that consent at checkout.
This does not affect the voluntary refund described in our refund policy or your statutory rights if the Product is defective or not as described. If you buy as a business, the right of withdrawal does not apply.
7. Updates and support
Updates and support are included for 12 months from purchase. After that the Product keeps working and you may keep using the version you have; you can renew updates and support for 19 € per year if you want them. A new major version (2.x) may be sold separately; we will tell you before that happens.
Support covers installation help, questions about how the Product works and bug reports, by e-mail at hello@repwise.dev. We aim to answer within 3 business days. Support does not cover custom development, changes you made to the code, third-party plugins, or the configuration of your server or hosting. See the support page for details.
8. Your responsibilities and your clients' data
You install and run the Product on your own server. You are the data controller for the personal data of your own clients that you store in it (names, contact details, bookings, invoices). You are responsible for having a legal basis for that processing, for informing your clients, for keeping the server and the application secure and up to date, and for making backups. The Product includes tools to export and anonymize a client's data to help you answer data-protection requests.
We do not receive, access or process data stored in your installation.
9. Warranty and liability
We make the Product with care and describe it as accurately as we can on this website and in the live demo. If it does not work as described, we will fix it or help you fix it. Your statutory rights as a consumer, including those for digital content that is defective or not in conformity, are not affected by these terms.
Apart from that, and to the extent the law allows, the Product is provided "as is". We are not liable for indirect or consequential damage, loss of profit, loss of data or business interruption. Our total liability for any claim relating to the Product is limited to the price you paid for it. Nothing in these terms excludes liability that cannot be excluded by law, such as liability for intent, gross negligence, or death and personal injury.
10. Termination
If you break the license conditions, the license ends automatically and you must stop using the Product and delete your copies. We may refuse future sales or support to someone who has broken them. Sections that by their nature should continue to apply (for example intellectual property and liability) will continue after termination.
11. Changes to these terms
We may update these terms. The version in force when you buy is the one that applies to your purchase. Changes that affect future versions or services will be published on this page with a new date.
12. Governing law and disputes
These terms are governed by the laws of Spain. If you are a consumer, you also keep the mandatory consumer-protection rights of the country where you live and you may bring a claim before the courts of your place of residence. For business customers, the courts of [Manresa (Barcelona)], Spain, have jurisdiction, unless the law says otherwise.
